Terms of Service.
Notice: This document is a working draft pending legal review. Specific terms in your written service agreement with Prange Automations control over anything inconsistent stated here.
1. Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the services, websites, software, and related products offered by Prange Automations ("Prange Automations," "we," "us," or "our"), including the website at prangeautomations.com and any associated platforms, dashboards, APIs, funnels, and tools (collectively, the "Services").
By accessing the Services, creating an account, signing a service agreement with us, or otherwise indicating your acceptance of these Terms, you ("you," "your," or "Client") agree to be bound by these Terms, our Privacy Policy (available at prangeautomations.com/privacy), and any additional terms or policies referenced herein or presented to you at sign-up.
If you do not agree with these Terms, you must not access or use the Services.
If you are entering into these Terms on behalf of a company or other legal entity, you represent and warrant that (a) you have the legal authority to bind that entity, and (b) you are over eighteen (18) years of age and have the legal capacity to enter into a binding contract in your jurisdiction.
2. Description of Services
Prange Automations provides marketing technology and services designed to help local service businesses attract customers, book appointments, manage customer relationships, and grow revenue. Our Services may include:
- Marketing funnels — branded landing pages, quiz funnels, and contact forms designed to capture inquiries from paid and organic traffic
- Marketing websites — branded sites for service businesses
- Advertising management — setup, management, and optimization of campaigns on Meta (Facebook/Instagram), Google Ads, and similar platforms
- CRM integration — configuration and management of GoHighLevel sub-accounts on your behalf, including pipelines, automations, calendars, and communication workflows
- Automation workflows — email sequences, SMS sequences, missed-call text-back, review-request automation, and other automated follow-up systems
- Analytics and reporting — dashboards showing call volume, cost per call, conversion rates, and other key indicators
- Integration services — connecting your Prange Automations system to third-party tools (e.g., Stripe, Google Business Profile, scheduling tools)
- Consulting and support — advisory services, strategy calls, and ongoing support
The specific Services you receive are determined by your service plan and any written service agreement between you and Prange Automations.
3. Eligibility
To use our Services, you must:
- Be at least eighteen (18) years of age
- Have the legal capacity to enter into a binding contract
- Operate a legitimate business not engaged in illegal activities
- Comply with all applicable laws, regulations, and third-party terms of service
- Not be barred from using our Services under U.S. or other applicable law
We reserve the right to refuse service, terminate accounts, or cancel orders at our sole discretion.
4. Account Registration and Security
When you sign up for our Services, you may be required to create an account. You agree to:
- Provide accurate, current, and complete information at registration
- Maintain and promptly update your information
- Keep your account credentials secure and confidential
- Not share credentials with any third party except an authorized team member you are accountable for
- Notify us immediately at admin@prangeautomations.com of any unauthorized access
- Accept responsibility for all activities under your account
5. Fees, Billing, and Refunds
5.1 Fees
The fees for our Services are set forth in your service agreement or order form at the time of purchase. Fees may include any combination of: (a) a one-time setup fee, (b) a recurring monthly subscription fee, and (c) a per-qualified-call fee charged for each qualified call delivered to you. All fees are in U.S. dollars unless otherwise stated. Fees are exclusive of any applicable taxes, which are your responsibility.
5.2 Billing
Setup fees are billed at the time of purchase. Subscription fees are billed in advance on a monthly basis. Per-call fees are billed in arrears on a monthly basis based on qualified calls delivered during that period. You authorize us (or our payment processor, Stripe) to charge your payment method on file for the applicable fees on each billing date.
If your payment fails, we may retry the charge, suspend your Services until payment is received, or terminate your account after a reasonable cure period. You are responsible for any fees, penalties, or charges incurred from failed payments.
5.3 Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. If we change the price of your subscription, we will notify you in advance, and you may cancel before the change takes effect.
5.4 Cancellation
You may cancel your subscription at any time by emailing admin@prangeautomations.com or by using any cancellation tool we provide. Cancellation takes effect at the end of the current billing period. You will continue to have access to the Services until that period ends and will not be charged for subsequent periods.
5.5 Refunds
Setup fees and Services already rendered are non-refundable. Prange Automations does not provide refunds for partial months of Service, unused Services, or Services already provided. If you believe you were charged in error, contact us at admin@prangeautomations.com within thirty (30) days of the charge and we will investigate in good faith.
5.6 Price Changes
We reserve the right to modify our fees at any time upon thirty (30) days' prior written notice. Notice may be delivered by email to the address on file. If you do not agree to the price change, you may cancel before it takes effect.
6. Client Responsibilities
6.1 Accurate Business Information
You will provide accurate, complete, and up-to-date information about your business: legal business name, address, phone number, email address, services offered, service area, website, and any other information we request for the delivery of our Services. Inaccurate or incomplete information may result in delayed or failed delivery of Services.
6.2 Timely Response to Calls
The effectiveness of our Services depends significantly on how quickly you respond to calls we deliver. You agree to use reasonable efforts to respond within minutes (not hours), and to follow up consistently. Prange Automations is not responsible for calls lost due to delayed or absent follow-up by you or your team.
6.3 Compliance with Communications Laws
When you contact calls we deliver — whether by phone, email, text message, or any other channel — you are solely responsible for complying with all applicable communications laws, including:
- Telephone Consumer Protection Act (TCPA) — text messages, calls, and automated dialing to mobile phones in the U.S.
- CAN-SPAM Act — commercial email in the U.S.
- Canada's Anti-Spam Legislation (CASL) — messages to Canadian recipients
- General Data Protection Regulation (GDPR) — recipients in the EEA or U.K.
- California Consumer Privacy Act (CCPA/CPRA) — communications with California residents
- State and local laws — any applicable laws on communications, solicitation, or consumer protection
You are responsible for obtaining required consents, honoring opt-out requests promptly, maintaining records of consent, and registering for A2P 10DLC or any similar carrier programs. Prange Automations is not liable for fines, penalties, or claims arising from your failure to comply.
6.4 Accurate Content
You are responsible for the accuracy of any content, claims, offers, pricing, service descriptions, testimonials, and other information you provide for use in your funnels, websites, advertisements, or marketing materials. You represent and warrant that your content is truthful, not misleading, compliant with applicable advertising laws, and does not infringe on third-party rights.
6.5 Business License and Insurance
You represent that you hold all required business licenses, certifications, insurance, and credentials necessary to legally operate your business and perform the services you offer. Prange Automations does not verify Client credentials and is not responsible for harm caused by a Client operating without proper licensing or insurance.
6.6 Fulfillment of Customer Services
You are solely responsible for providing the services or products you offer to your customers. Prange Automations is a marketing technology company, not a service provider or reseller. Any agreement between you and your customers is solely between those parties. We have no liability for the quality, timeliness, pricing, safety, or outcome of services you deliver.
7. Acceptable Use Policy
You agree not to use the Services to:
- Engage in any illegal, fraudulent, deceptive, or harmful activity
- Violate any law, regulation, or third-party terms of service
- Infringe on intellectual property, privacy, or publicity rights of any third party
- Transmit defamatory, obscene, abusive, threatening, harassing, or otherwise objectionable content
- Send unsolicited commercial messages (spam) by any channel
- Attempt unauthorized access to any part of our Services, other users' accounts, or related systems
- Reverse engineer, decompile, or attempt to discover source code
- Build a competing product or service using our Services
- Resell, sublicense, or transfer the Services to any third party without written consent
- Interfere with or disrupt our Services or supporting infrastructure
- Use automated systems (bots, scrapers, crawlers) except as expressly permitted
- Collect or harvest personal information about other users
- Misrepresent your identity, affiliation, or qualifications
- Use the Services in any manner that could damage, disable, or impair our systems
We reserve the right to investigate and take appropriate action against violations, including removing content, suspending or terminating accounts, and reporting to law enforcement.
8. Call Quality and Service Performance
8.1 No Guarantee of Results
Prange Automations provides marketing technology and services designed to help your business attract new customers. We do not guarantee any specific number of calls, quality of calls, conversion rate, return on investment, or business outcome. Effectiveness depends on factors including your market, pricing, reputation, sales process, service quality, response time, and external factors beyond our control.
Any statements about typical results, past performance, case studies, or potential outcomes are illustrative only and do not constitute a guarantee of any particular result for your business.
8.2 Best Efforts Standard
We will use commercially reasonable efforts to provide the Services in a professional manner consistent with industry standards. The Services are provided on an "as is" and "as available" basis without warranties of any kind, except as expressly stated in these Terms or in your written service agreement.
8.3 Delivery of Calls
Calls are delivered through your dashboard, your GoHighLevel sub-account, email and SMS notifications, and any integrations you have configured. You are responsible for monitoring these channels and responding in a timely manner.
8.4 Disputed Calls
If you believe a call is invalid (e.g., a test submission, a duplicate, a spam bot, or clearly outside your service area), you may flag it by emailing admin@prangeautomations.com within five (5) business days of receiving the call. We will investigate in good faith and may, at our sole discretion, issue a credit for verified invalid calls. Disputed calls not reported within five (5) business days are deemed valid.
9. Intellectual Property Rights
9.1 Our Intellectual Property
All rights, title, and interest in the Services — including software, source code, templates, designs, interfaces, databases, documentation, graphics, logos, trademarks, workflows, and any improvements — are and will remain the exclusive property of Prange Automations and its licensors. The Services are protected by copyright, trademark, trade secret, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes in accordance with these Terms. This license does not include the right to resell, sublicense, modify, or create derivative works.
"Prange Automations" and any associated logos, slogans, and trademarks are trademarks of Prange Automations. You may not use our trademarks without our prior written permission.
9.2 Your Content
You retain all rights, title, and interest in any content, data, materials, or information you provide to us in connection with the Services ("Client Content"), including your business name, logos, images, text, branding, customer data, and call data. You grant Prange Automations a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, and distribute Client Content solely to provide the Services and comply with our legal obligations.
You represent and warrant that you own or have all necessary rights to the Client Content and that providing it to us does not violate any third-party rights or laws.
9.3 Feedback
If you provide feedback, suggestions, or ideas about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free, sublicensable license to use, modify, and commercialize that feedback without obligation or compensation.
10. Third-Party Services and Integrations
The Services integrate with and rely on third-party services, including but not limited to GoHighLevel, Meta (Facebook and Instagram), Google, Stripe, Telnyx, Supabase, Cloudflare, and others. Your use of these third-party services is subject to their respective terms and privacy policies. Prange Automations is not responsible for the availability, reliability, performance, or practices of any third-party service.
If a third-party service experiences an outage, changes its terms, raises prices, restricts API access, or is discontinued, we will use reasonable efforts to mitigate impact on our Services, but we cannot guarantee uninterrupted service in all circumstances. We are not liable for damages caused by third-party service failures.
11. Privacy and Data Processing
Your use of the Services is subject to our Privacy Policy, which is incorporated into these Terms by reference.
If you are a Client and we process personal information on your behalf in connection with the Services (for example, call data captured through your branded funnel), we act as a data processor and you act as a data controller under applicable data protection laws. A separate Data Processing Addendum may be available upon request.
12. Termination
12.1 Termination by You
You may terminate your subscription at any time by following the cancellation procedure in Section 5.4. Termination takes effect at the end of the current billing period.
12.2 Termination by Us
We may suspend or terminate your access to the Services at any time, with or without notice, for any of the following reasons:
- Non-payment of fees
- Violation of these Terms or our Acceptable Use Policy
- Conduct we believe harms other users, our business, or third parties
- Long periods of account inactivity
- Legal or regulatory requirements
- Discontinuation of the Services or any feature thereof
- Any other reason at our sole discretion
We will use reasonable efforts to notify you of termination and the reason, except where notice is not legally permitted or practical.
12.3 Effect of Termination
Upon termination of your subscription or account:
- Your access to the Services will end
- Any unpaid fees become immediately due and payable
- You may request a copy of your data (such as call records) within thirty (30) days after termination. After thirty days, we may delete your data per our retention policies
- Any provisions that by their nature should survive termination will survive, including those relating to intellectual property, confidentiality, warranties, indemnification, limitation of liability, and dispute resolution
13. Warranties and Disclaimers
13.1 Limited Warranty
We warrant that we will provide the Services in a professional and workmanlike manner consistent with industry standards. This is our only express warranty.
13.2 Disclaimer of Other Warranties
EXCEPT AS EXPRESSLY PROVIDED IN SECTION 13.1, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PRANGE AUTOMATIONS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR TRADE USAGE.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM HARMFUL COMPONENTS. WE DO NOT WARRANT THAT RESULTS WILL MEET YOUR EXPECTATIONS, DELIVER ANY PARTICULAR NUMBER OF CALLS, OR PRODUCE ANY SPECIFIC BUSINESS OUTCOME.
Some jurisdictions do not allow the exclusion of implied warranties, so some exclusions above may not apply to you.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRANGE AUTOMATIONS, ITS OFFICERS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF PRANGE AUTOMATIONS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICES IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
These limitations apply regardless of legal theory and regardless of whether we have been advised of the possibility of damages. Some jurisdictions do not allow such limitations, so some may not apply to you.
15. Indemnification
You agree to indemnify, defend, and hold harmless Prange Automations and its officers, employees, agents, affiliates, and licensors from any claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or resulting from:
- Your access to or use of the Services
- Your violation of these Terms or any law or regulation
- Your violation of any third-party right, including intellectual property, privacy, or publicity rights
- Your Client Content, including any claim it infringes third-party rights
- Your failure to comply with communications laws (TCPA, CAN-SPAM, CASL, GDPR, or similar)
- Any dispute between you and your customers arising out of services you provide them
- Any misrepresentation you make to us or any third party in connection with the Services
- Your negligence or willful misconduct
We reserve the right to assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.
16. Dispute Resolution and Governing Law
16.1 Governing Law
These Terms and any disputes arising out of or in connection with them are governed by the laws of the State of Illinois, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16.2 Informal Resolution
Before filing a formal claim, you agree to first contact us at admin@prangeautomations.com and attempt to resolve the dispute informally. We agree to respond within thirty (30) days and work in good faith to reach a resolution.
16.3 Binding Arbitration
If we cannot resolve a dispute informally within sixty (60) days, you and Prange Automations agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules where applicable. The arbitration will be conducted in Cook County, Illinois, or another location mutually agreed upon by the parties. The arbitrator's decision will be final and binding, and judgment may be entered in any court of competent jurisdiction.
16.4 Class Action Waiver
YOU AND PRANGE AUTOMATIONS AGREE THAT ANY DISPUTE WILL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.
16.5 Exceptions to Arbitration
Notwithstanding the agreement to arbitrate, either party may bring an individual action in small-claims court for disputes that qualify, and either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
16.6 Opt-Out of Arbitration
You have the right to opt out of the arbitration agreement by sending written notice to admin@prangeautomations.com within thirty (30) days of first accepting these Terms. Your notice must include your full name, mailing address, and a statement that you wish to opt out. If you opt out, disputes will be resolved in the state or federal courts located in Cook County, Illinois.
17. General Provisions
17.1 Entire Agreement
These Terms, together with our Privacy Policy and any written service agreement between you and Prange Automations, constitute the entire agreement between us regarding the Services and supersede all prior or contemporaneous agreements, communications, and proposals, oral or written.
17.2 Assignment
You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice or consent.
17.3 Severability
If any provision is held invalid, illegal, or unenforceable, that provision will be severed and the remainder will remain in full force and effect.
17.4 Waiver
No waiver of any provision will be deemed a further or continuing waiver. Our failure to assert any right will not constitute a waiver.
17.5 Force Majeure
Prange Automations will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, war, terrorism, riots, embargoes, fire, floods, earthquakes, pandemic, accidents, strikes, labor disputes, shortages, and third-party service outages.
17.6 Independent Contractors
The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, agency, franchise, or employment relationship.
17.7 Notices
We may provide notices to you by email, by posting on our site, or by other reasonable means. You must provide notices to us at admin@prangeautomations.com.
17.8 Changes to These Terms
We reserve the right to modify these Terms at any time. For material changes, we will notify you by posting updated Terms with a new "Last Updated" date and, where appropriate, by emailing the address on file. Continued use of the Services after the updated Terms take effect constitutes acceptance.
17.9 Survival
Any provisions that by their nature should survive termination or expiration will survive, including those relating to intellectual property, confidentiality, warranties, indemnification, limitation of liability, dispute resolution, and general provisions.
